Job Description

The above-mentioned vacancy has arisen within TIMB, and applications are invited from suitably qualified candidates to fill the position. The successful candidate will be based at TIMB Head Office.
REPORTS TO: COMPANY SECRETARY

Duties and Responsibilities

• Providing legal protection and risk management advice to management, especially on contract management.
• Reviewing and advising management on legal implications of internal policies and procedures through Legal Compliance Audits.
•Conducting regular compliance audits of departments to continuously monitor compliance with
Statutory Obligations as well as Principles of Good Corporate Governance.
• Assisting in ensuring the Board's conformity to both internal and external legal and regulatory frameworks.
• Drafting and / reviewing all contracts or any other documentation where the Board is set to commit itself and assessing legal implications that need to be brought to the senior management's attention.
• Provide concise legal support and advice relating to the conduct of the Board based on sound legal principles.
• Provide instructions for various litigation matters affecting the Board and ensure the best strategy is employed by external service providers in handling the litigation.
• Preparing monthly and quarterly reports for the department for executive management meetings.
• Capturing all Board Resolutions for submission to the parent Ministry and Corporate Governance
Unit.
• Preparing and submitting quarterly Corporate Governance reports to the Company Secretary for review and consideration.

Qualifications and Experience

QUALIFICATIONS & EXPERIENCE
• Bachelor's degree in Laws Honours (LLBs)
• Strong knowledge of applicable laws and regulations
• Minimum of 2 years of commercial experience, of which one (1) should be in providing legal services
OTHER REQUIREMENTS/ COMPETENCES
• Knowledge of the Data Protection Act
• Knowledge of Public Procurement and its regulatory requirements
• Interpersonal skills
• Tobacco Industry Awareness
• Attention to detail
