Job Description

Providing legal advisory services and opinions and ensuring effective management of legal and contractual risks. The role also encompasses supporting the Zimbabwe group of entities in respect of the management of litigation, general legal matters and projects with group-wide significance. The Legal and Governance Officer will also assist in the Company Secretary’s Office.

Duties and Responsibilities

Main Focus Areas
Management of in-country legal risk
• Provide ongoing legal support and opinions
• Manage the process by which the bank identifies high risk
legislation, assess the risks to BancABC of non-compliance and adhere to a legal risk management strategy and framework for the country that is aligned to the in-country bank and overarching group Legal strategy
• Monitor country awareness of legal risks and ensure these are being identified and managed in all legal projects, agreements, legal opinions, systems, policies, procedures and products

Provision of legal advice and drafting of contracts and legal agreements
• Provide legal support and opinions to relevant in-country teams
• Drafting and reviewing contracts, and ensuring that robust contracts an in place resulting in minimised legal risk to the Bank and its associate companies
• Review and provide legal advice on tender documents and procurement processes
• Work closely with internal stakeholders to understand the legal aspects of proposed transactions and structures and provide a view on the feasibility thereof

Litigation management
• Review ongoing litigation cases and advise management accordingly
• Appoint and instruct legal counsel where required
• Liaise between external counsel, in-country legal teams and business to defend or prosecute a case to its logical conclusion
Stakeholder engagement
• Build professional stakeholder relationships, displaying excellent abilities to listen, advise, influence, negotiate and present at all levels
• Integrate information provided by various sources to make decisions
• Engage with internal stakeholders to provide guidance and ongoing legal advice, as well as training on specific issues where needed

Policy development
• Assist the Company Secretary with reviewing and drafting relevant policies and ensuring the same are implemented and adhered to across the Zimbabwe group.
Board engagement and management
• Assist the Company Secretary with board meeting preparations and ensuring that meeting minutes are prepared and circulated timeously.
• Ensure that Company documents are filed, and statutory meetings are held timeously.
• Staying current in area of expertise and industry and provides updates on governance developments

Qualifications and Experience

Qualifications and Work Experience
• 4+ years’ post-qualification legal experience in commercial and corporate law, civil and criminal litigation, sound knowledge in labour knowledge, having completed pupillage in a reputable law firm
• Exposure to a banking and/ or corporate environment
• LLB (Hons) is a must
• Registered as a Legal Practitioner in Zimbabwe
