Job Description

Tsapo Group of Companies is a fast-growing organisation in the motor industry and is seeking the services of a Corporate Secretary. The position is based in Harare.

Duties and Responsibilities

The successful candidate will be responsible for the following among other duties:
1. Being up to date with the provisions of the Companies Act and all regulatory and statutory changes and policies that might affect the organisation.
2. Managing Board meetings i.e preparation and distribution of Board papers, agendas and minutes.
3. Carrying out Board instructions and implementing Board resolutions.
4. Advising Directors and Board Members about their responsibilities with respect to corporate governance inter alia.
5. Provide statutory \company secretarial services and act as Secretary to the Board of Directors and standing committees of the company.
6. In liaison with SBU Heads, drafting all sales contracts and ensuring that they meet basic legal requirements and safeguard the company's position.
7. Identify and manage Group legal risks.
8. Dealing with external stakeholders including professionals like lawyers and auditors where necessary and ensuring that the company is properly represented in all litigations.
9. Review, draft MOUSs, legal agreements, loan agreements and security documentation between the company and external parties.

Qualifications and Experience

1. Bachelor of Laws Honours Degree from a reputable institution or a related field.
2. Corporate Governance certificate/ Chartered Institute of Administrators and Secretaries certificate is an added advantage.
3. Good O and A level grades.
4. A minimum of 4 years' experience as a Corporate Secretary/ Senior Management role.
5. Excellent interpersonal, relationship-building skills.
6. Proven ability to work collaboratively in business teams.
7. Excellent written and oral communication skills. Ability to effectively communicate with internal business stake holders and widely varied external constituents.
8. Leads with integrity, demonstrating honesty and respect.
9. A clean class 4 drivers' licence is a must with proof of retest or valid defensive driving certificate.
