Job Description

Zimbabwe National Boxing and Wrestling Control Board (ZNBWCB) is a statutory body that oversees the development and promotion of boxing, wrestling and related activities in Zimbabwe. ZNBWCB is seeking to recruit suitably qualified and experienced persons to fill the following vacant position:

Corporate Secretary
Reporting to: Chief Executive Officer

Job Purpose
Responsible for facilitating the effective and efficient functioning of the ZNBWC Board and Board Committees through the provision of secretariat, legal, compliance, governance and advisory services and ensuring that the Board and Board Committee resolutions are implemented by management. Also responsible for ensuring ZNBWCB compliance with corporate governance best practices, legal and regulatory standards.

Duties and Responsibilities

The incumbent's key responsibilities shall include but not limited to:
• Provision of secretarial services to the Board and Committee meetings including convening the meetings.
• Overseeing preparation of reports for board committees and main board meetings.
• Handling of legal matters and provision of legal advice to the ZNBWCB on corporate law and ethics in compliance with good corporate governance principles.
• Maintaining the corporate governance framework and ensuring compliance across the entire organization.
• Reviewing legislative, regulatory and governance issues for the ZNBWCB.
• Strategic planning for the Corporate Affairs functions of the Authority.
• Draft, review and maintain the contracts register for the ZNBWCB.
• Ensuring compliance with all statutory regulations through the maintenance of a robust system for record keeping of all statutory documents.
• Timely submission of returns to various regulatory bodies and custody of the same.
• Advising the Chief Executive Officer on corporate affairs of the ZNBWCB and executing any other duties assigned by the Chief Executive Officer.

Qualifications and Experience

• Bachelor of Laws (LLB) Degree or equivalent
• A post - graduate qualification such as Chartered Institute of Secretaries and Administrators (CIS) or any other equivalent and relevant post - graduate qualification
• A holder of a post graduate degree such as MBA or equivalent will have an added advantage
• Membership of a professional body is a prerequisite
• Must have a minimum of 4 years' experience, 2 of which should have been in handling corporate secretarial matters in a managerial capacity
