Job Description

VACANCY
GROUP COMPANY SECRETARY
A flagship listed company is inviting applications from suitably qualified and experienced persons to fill in the above position that has arisen at Head Office. The incumbent will work with the Finance Director and report to the Chief Executive and the Board.

Duties and Responsibilities

THE JOB
The successful incumbent will be responsible for, inter alia:-
• Ethics oversight;
• Ensuring compliance with Companies Act Legislation, relevant Corporate Governance Codes and adherence to internal governance frameworks.
• Managing the Board of Directors processes including its various committees including matters relating to: - Agenda Meeting attendance/ Calendar Preparation of the information packs Minutes - Draft and manage board resolutions
• Drafting and Updating Charters;
• Managing the statutory returns for lodgement with the Registrar of companies
• Managing the deregistration of dormant companies;
• Co-ordinating contracts, payment and remuneration committee sign-off for non- executive directors;
• Supporting the Audit team in the annual audit process;
• Maintaining the legal index, safe custody of legal agreements and shares certificates;
• Contributing to meeting discussions as and when required, and advising members of the legal, governance, accounting and tax implications of proposed policies;
• Monitoring changes in relevant legislation and the regulatory environment and taking appropriate action;
• Oversight on the administration of the Executive Payroll and Benefits and reporting or disclosure thereof as required by legislation.

Qualifications and Experience

THE PERSON
He/ She should possess the following qualifications and attributes:-
• BCom/LLB degree or relevant qualification. Masters qualification will be an added advantage;
• Deep knowledge of Governance, Companies Act, Governance Codes and Company Secretarial Administration;
• 7 - 10 years of experience in a Company Secretarial role with at least 5 years of experience at a management level;
• Registered with a Public Accountants and Auditors Board approved professional body -such as the Institute of Chartered Secretaries and Administrators, Chartered Accountant or as qualified in line with the Companies Act.
• Strong interpersonal and communication skills with the ability to communicate at all levels in the organisations;
• Be resilient and able to perform in a high stress environment; • Ability to initiate and manage change;
• Ability to conceptualise and convert into reality.
